2. Description of Services
ULUK Infotech LLP provides the following services, subject to these Terms:
- IT Infrastructure & Security: Network design, firewall configuration (NGFW/UTM), server setup, NAS, IPPBX, and IP phone deployments
- Software & Media Studio: Website and application development, photography, videography, and media editing
- Hardware Repairing: Diagnosis and repair of desktops, laptops, printers, and other IT hardware
- Electrical Services: Domestic and industrial wiring, planning, and installation
- Annual Maintenance Contracts (AMC): Ongoing maintenance agreements for IT infrastructure
We reserve the right to modify, suspend, or discontinue any service at any time with reasonable notice to existing clients.
3. User Obligations
When using our website or services, you agree to:
- Provide accurate, current, and complete information when requested
- Not use our website for any unlawful, fraudulent, or harmful purpose
- Not attempt to gain unauthorised access to our systems or networks
- Not transmit viruses, malware, or any other destructive code
- Not reproduce, duplicate, or exploit any part of our website without prior written permission
- Comply with all applicable Indian laws and regulations in connection with your use of our services
Violation of these obligations may result in immediate termination of services and, where applicable, legal action.
4. Intellectual Property
All content on this website — including but not limited to text, graphics, logos, icons, images, and software — is the property of ULUK Infotech LLP and is protected under applicable Indian and international intellectual property laws.

- The ULUK Infotech name, logo, and brand elements are trademarks of ULUK Infotech LLP
- Work product created for clients (websites, media, configurations) becomes the client's property upon full payment
- We retain the right to showcase completed work in our portfolio unless explicitly agreed otherwise in writing
5. Payments & Billing
The following terms govern all financial transactions with ULUK Infotech:
- Quotations: All service quotes are valid for 15 days from the date of issue
- Advance payment: Most projects require a 50% advance before commencement of work
- AMC billing: Annual contracts are billed upfront or as per the agreed payment schedule
- Late payments: Invoices unpaid beyond 30 days may attract a 2% monthly interest charge
- Taxes: All prices are exclusive of GST and any applicable government levies unless stated otherwise
- Refunds: Refunds are considered on a case-by-case basis. Advance payments for commenced work are generally non-refundable
Detailed payment terms for specific projects or AMC contracts will be outlined in your individual Service Agreement, which supersedes these general terms.
6. Limitation of Liability
To the maximum extent permitted by applicable law, ULUK Infotech LLP shall not be liable for:
- Any indirect, incidental, consequential, or punitive damages arising from use of our services
- Loss of data, revenue, or profits resulting from hardware failure, cyberattacks, or circumstances beyond our control
- Service interruptions caused by third-party providers, natural disasters, or force majeure events
- Damages resulting from your failure to follow our recommendations or maintain systems properly
Our total liability for any claim arising out of or related to our services shall not exceed the amount paid by you for the specific service in question during the preceding 3 months.
Some jurisdictions do not allow certain liability exclusions. In such cases, our liability is limited to the maximum extent permitted by law.
7. Warranties & Disclaimers
ULUK Infotech provides services on a professional best-effort basis. We commit to:
- Delivering services with reasonable skill and care
- Honouring any specific warranties stated in individual service agreements
- Hardware repairs carry a 30-day workmanship warranty (does not cover physical damage after repair)
- Installed network infrastructure carries a 90-day configuration warranty
Beyond the above, our website and services are provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
8. Termination
Either party may terminate a service engagement under the following conditions:
- By the client: With 30 days' written notice. Fees for work completed or committed up to the termination date remain payable
- By ULUK Infotech: We may suspend or terminate services immediately if you breach these Terms, fail to make payments, or engage in conduct harmful to our staff or systems
- AMC contracts: Early termination of AMC agreements may incur a cancellation fee as specified in the individual contract
Upon termination, all outstanding invoices become immediately due and payable. Provisions relating to intellectual property, liability, and governing law survive termination.
9. Governing Law & Dispute Resolution
These Terms of Service are governed by and construed in accordance with the laws of India. Specifically:
- Jurisdiction for any disputes is exclusively vested in the courts of Kamrup District, Assam, India
- Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days
- Unresolved disputes may be referred to mediation or arbitration as mutually agreed
- These terms are subject to applicable Indian laws including the Information Technology Act, 2000 and the Consumer Protection Act, 2019
